HCL Infosystems Ltd has informed BSE that the Hon’ble High Court of Delhi and Rajasthan have vide their respective orders dated August 11, 2008 and May 29, 2009, sanctioned the Scheme of Amalgamation (Scheme) of Natural Technologies Pvt Ltd (NTPL), the wholly owned subsidiary, with HCL Infosystems Ltd, the Transferee Company.
The Scheme has become effective on filing of the certified copy of the order dated May 29, 2009 of Rajasthan High Court with the Registrar of Companies, Jaipur, on July 06, 2009.
Upon effectulation of the Scheme:
1. All the business and undertakings including all assets, properties, powers, rights, benefits and licenses etc along with all debts, liabilities, charges and reserves of
NTPL, the transferor Company shall stand transferred to and vested in HCL Infosystems Ltd, the transferee Company with effect from July 01, 2008, the appointed date.
2. There shall not be any issue of shares by HCL Infosystems Ltd, the transferee Company to the shareholders of NTPL, as the transferor Company was a wholly owned subsidiary of HCL Infosystems Ltd, the transferee Company.
3. NTPL stands dissolved without winding up.
