Aurobindo Pharma clears key US hurdle in Lannett acquisition, closing expected soon

Indian generic drug giant Aurobindo Pharma announced on Friday that it is on the verge of pulling off a major expansion in the United States after clearing a critical regulatory hurdle.

The Hyderabad-based pharmaceutical heavyweight said that it has secured antitrust clearance from the US Federal Trade Commission (FTC) for its impending takeover of American drugmaker Lannett Company.

The regulatory green light effectively removes the biggest roadblock for the deal, setting the stage for the acquisition to officially close by the end of June.

The transaction is being executed through the company’s wholly owned stateside subsidiary, Aurobindo Pharma USA Inc. The unit had originally hammered out a definitive agreement back in July 2025 to buy out 100% of Lannett from its parent entity, Lannett Seller Holdco, Inc.

However, the companies have kept the exact financial metrics under wraps.

The US has long been Aurobindo’s primary engine for overseas growth, and taking over Lannett is set to scale up its American footprint.

In its regulatory disclosure to Indian stock exchanges, Aurobindo stated that with the FTC nod now in hand, it expects to wrap up the remaining administrative formalities and finalize the transaction shortly.

“We anticipate that the transaction will close before the end of this month and will keep the exchanges informed if any future developments in this matter,” the pharma giant said.
