Ruchi Soya Industries – Updates on Schemes of Arrangement & Amalgamation
Ruchi Soya Industries Ltd has informed BSE that the management of the Ruchi Group (the Group) had proposed consolidation of similar business of the Group. Accordingly, three Schemes of Arrangement and Amalgamation entailing consolidation of ten companies of the Group whereby the Soya Processing, Vegetable Oils & Fats and Food Businesses (other than dairy business) (SVF Business) carried on by eight companies of the Group was to be consolidated into the Company. The appointed date of all the three schemes is April 01, 2005.
Two of the three Schemes were implemented on September 04, 2006 by the Company.
The third Scheme of Amalgamation of Param Industries Ltd with the Company has been approved by the Hon’ble High Court of Bombay vide its Order dated November 17, 2006. The certified copy of the Order was received by the Company on November 22, 2006. The Board took note of the Order and Scheme was made implemented with effect from November 23, 2006.
